Consultant Terms
These Consultant Terms apply to you if you use ArtsCompass as a consultant, counselor, coach, member of a consulting practice, reviewer of our data, or in any other professional capacity ("Consultant," "you"). They add to our Terms of Service, which also apply to you. If they conflict, these Consultant Terms control for your professional use. Capitalized terms not defined here have the meaning given in the Terms of Service.
1. Independent relationship
You are an independent professional. You are not our employee, agent, partner, joint venturer or representative, and you have no authority to make promises or statements on our behalf. You are solely responsible for your own business, including your advice, fees, contracts with clients, taxes, insurance, and compliance with the laws and professional standards that apply to you. Do not describe your services as provided, endorsed or guaranteed by ArtsCompass.
2. Your advice is yours
You are solely responsible for the advice, school lists, recommendations, priorities, notes and other guidance you give your clients, whether or not you give it through ArtsCompass. ArtsCompass's information is a starting point that you must check against each school's official sources before you advise a client to rely on it. Do not tell a client that ArtsCompass or its information guarantees an admission, audition result, scholarship or any other outcome.
3. Client authorization
Before you enter a family's or dancer's information into ArtsCompass, or invite a family or dancer to it, you represent that you have told the family that you use ArtsCompass and have their permission to do so, including a parent's or guardian's permission for any dancer under 18. Do not enter information about a child under 13. Point your clients to our Privacy Policy, which explains how their information is handled.
4. Confidentiality and use of client information
- Use a family's information only to serve that family, and only while you are working with them.
- Keep it confidential. Do not sell it, share it outside your practice, use it for marketing to others, or copy it out of ArtsCompass except as needed to serve that family.
- Give access only to members of your practice who need it and who are bound by these Consultant Terms. You are responsible for their use.
- Keep your login secure. Tell us within 48 hours at [email protected] if you believe client information has been accessed or disclosed without authorization.
- If you learn of information you are not authorized to see, such as another practice's family, do not use it, and tell us.
- The family's information belongs to the family. If your engagement with a family ends, or your access to ArtsCompass ends, the family keeps its workspace and your access to it ends.
5. The program database
You may use ArtsCompass's program information to advise your own clients. You may not copy, export in bulk, republish, resell or redistribute it, or use it to build or improve another product, database or publication.
6. Your contributions
When you verify, correct, rate, annotate or add information to the program database, or give us feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable license to use, modify, display and distribute that contribution as part of ArtsCompass. You represent that your contributions are made in good faith and to the best of your knowledge, and that you have the right to give them. Your professional judgment may be shown to families as attributed opinion; we do not show families which consultant or source made a contribution unless you agree.
7. Commercial terms
Using ArtsCompass does not by itself create any right to payment, commission, revenue share, referral fee, discount, exclusivity, or other commercial arrangement, in either direction. Any such arrangement exists only if it is set out in a separate written agreement signed by both you and us. Fees you charge your clients are between you and them.
8. Indemnity
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the ArtsCompass Parties (as defined in the Terms of Service) from all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to: your advice or services to any client; your dealings, contracts or disputes with any client; your or your practice members' breach of these Consultant Terms or of law; or information you enter into ArtsCompass without proper authorization. This is in addition to Section 17 of the Terms of Service.
9. Suspension and ending access
We may suspend or end your access at any time, including if we believe you have breached these Consultant Terms or put a family's information at risk. Sections 2, 4, 5, 6 and 8 survive after your access ends.
10. Everything else
Disclaimers, limitation of liability, dispute resolution (including arbitration and the class action waiver), governing law and the other general terms are in the Terms of Service and apply to you. Questions: [email protected].
